Executive Summary
The City and Castle Rock Construction Company of Colorado, LLC (CRCC), the general contractor for the South Boulder Road Multimodal Improvements Project, recently engaged in mediation to resolve contract disputes arising out of delays and redesign issues impacting the Project. At mediation, the City and CRCC reached a resolution to move the Project forward, to resolve the delay-related disputes, and to establish timelines for completion of certain Project milestones. The mediated resolution is conditioned upon City Council’s approval at tonight’s meeting.
City Council Strategic Outcome (most applicable): Excellent City Services and Infrastructure Background Information
On March 16, 2023, the City and CRCC participated in a mediation with an independent professional mediator to resolve contract disputes arising out of delays affecting the Project due to the need to redesign the storm sewer and due to relocation of existing third-party utilities that conflict with the construction work in the S. Boulder Road corridor.
The mediator facilitated a resolution of the above issues that is acceptable to the parties, and the City Council has been fully advised of the terms. The mediated resolution is conditioned upon the City Council’s formal approval and authorization for the City to make payments to CRCC totaling $1.9 million for the following:
Additional construction “hard costs” and extended general conditions necessary to perform the redesigned storm sewer work, which work is the subject of Work Change Directive No. 1, recently approved by the City Council on March 7, 2023;
Construction cost increases caused by the need to redesign the storm sewer;
Payment to CRCC for mowing weeds (“clear and grub”) along S. Boulder Road;
Payment for additional surveying costs related to performance of the redesigned
storm sewer work; and
• Increased construction costs arising out of or relating to delays caused by third-party utility conflicts.
In exchange for the above payments, CRCC agreed to recommence work on the Project starting March 20, 2023. Further, CRCC agreed to complete all work necessary to shift traffic on S. Boulder Road from the south side to the north side by September 30, 2023, which work includes but is not limited to completion of the redesigned storm sewer work and, on the south side of S. Boulder Road, all work relating to the multiuse path, the curb and gutter, and the aggregate base course where necessary, and the first two layers of asphalt paving of the south side of S. Boulder Road, subject to modification and extension as provided in the construction contract.
In addition, CRCC and the City each agree to waive and release all claims they had or may have had through the date of mediation (March 16, 2023). The City and CRCC also agreed to negotiate in good faith a change order for the replacement of an existing City water line within S. Boulder Road.
If the City Council approves and authorizes the mediated resolution, staff and CRCC will draft and execute the necessary construction contract change orders and staff will make the necessary payments to follow through with the agreed-upon terms. Because tonight’s action will provide the necessary approval and authorization to carry out the mediated resolution, staff further requests that Council authorize the City Administrator or designee to execute all necessary change orders and payments consistent with and necessary to carry out the terms of the mediated resolution.
Next Steps
If City Council approves the mediated resolution, then Council must appropriate the funds needed to make the agreed-upon payments to CRCC. An ordinance with the necessary supplemental appropriations will be on Council agendas for first and second readings in the near future.
Recommendation
Staff recommends Council approve and authorize the mediated resolution and authorize the City Administrator or designee to execute all change orders and payments consistent with and necessary to carry out the terms thereof.
Proposed Motion Language
Council motion to approve and authorize the mediated resolution of contract disputes between the City of Lafayette and Castle Rock Construction Company of Colorado, LLC, including payments by the City to Castle Rock Construction totaling $1.9 million in accordance and in consideration of the terms of the mediated resolution, and to authorize the City Administrator or designee to execute change orders and payments consistent with and necessary to carry out the terms of the mediated resolution.

HOWEVER!
There is a scheduled executive session on this topic next week. For those who don’t know what the heck an executive session is, it’s a legal way for the council to meet with the city attorney and other parties to discuss a subject that it would be crazy to talk about in open session. This could be due to issues relating to city staff, purchases of real estate where advertising how much they are willing to pay is not a good move, or as you can see here, to receive legal advice or to instruct negotiators on what is acceptable to the council, again without revealing the details to the opposite side.
